About the Role
The Of Counsel role is a senior legal position within the Corporate practice group, designed for experienced corporate lawyers who have developed strong technical expertise and the ability to manage complex client matters with a high level of autonomy in corporate services.
Of Counsel attorneys serve as trusted advisors to corporate and institutional clients, contribute to the development of junior lawyers, and support the ongoing growth and profile of the Corporate practice.
Key Responsibilities
Client Advisory & Technical Work
- Provide high‑level advice on a broad range of corporate and commercial matters, including public and private M&A, private equity transactions, IPOs, joint ventures, corporate restructurings, SPACs, corporate governance, digital assets, and general commercial law.
- Manage complex client matters independently, identifying when to escalate strategic, novel, or particularly sensitive issues to Partners.
- Draft, review, and negotiate sophisticated transaction documents, including share purchase agreements, merger agreements, shareholder agreements, financing‑related corporate documents, and restructuring instruments.
- Coordinate cross‑border transactions by liaising with onshore counsel, financial advisors, and other stakeholders.
- Keep clients informed of relevant legislative or regulatory developments affecting corporate structures, financing, or transactional execution.
Team Leadership & Mentoring
- Supervise and mentor junior lawyers, providing technical guidance and contributing to their professional development.
- Support knowledge‑sharing initiatives, including updates to internal teams and contributions to thought leadership.
- Assist Partners in delivering internal and external training sessions.
Business Development & Practice Support
- Actively support business development initiatives, including maintaining and expanding client relationships, contributing to pitches or proposals, and supporting cross-selling efforts.
- Help expand the firm’s profile through speaking engagements, publications, or involvement in professional associations.
- Contribute to the development of the Corporate practice, supporting quality control, precedent development, and process improvements without carrying full Partner-level practice-growth expectations.
Collaboration & Professional Standards
- Work collaboratively with colleagues across all levels and across practice groups where matters overlap.
- Uphold the firm’s highest standards of ethics, professionalism, and client service.
- Contribute to annual team goals and budget expectations at an Of Counsel level.
EXPERIENCE
What You Bring
- At least 9 years' relevant post qualification experience from a recognised leading law firm in a major onshore or offshore jurisdiction.
- Strong technical expertise in complex corporate and commercial matters, ideally including digital assets experience.
- Excellent drafting, analytical, and communication skills with the ability to provide practical, commercially focused legal advice.
- Demonstrated ability to manage complex matters independently while also contributing to team initiatives.
- Experience supervising junior lawyers and contributing to knowledge development within a team.
- Strong commercial awareness and developing business development capability. Demonstrating an understanding of digital assets and the ability to assist with the continued growth of our digital assets practice would be beneficial.
- Proven ability to provide timely, commercial advice to clients.
- Ability to build strong internal and external client relationships.
- Proactive approach to workload management, collaboration, and contributing to a positive team culture.
